Terms of Service

Terms of Service

Effective date: July 2, 2026. These terms govern Monocrat websites, private beta waitlist flows, and the Monocrat beta or v1 service.

1. Agreement

These Terms of Service are an agreement between Vanka Inc. ("Monocrat," "we," "us," or "our") and the person or business using Monocrat ("Customer," "you," or "your"). By using the website, joining the waitlist, connecting a source, using the service, or approving a paid order, you agree to these terms and any applicable order form, billing terms, data processing addendum, or product disclosure linked from these terms.

Monocrat is offered for business use, not personal, family, household, consumer, child-directed, or high-risk regulated use unless we agree in writing.

2. Company Information

3. Beta And V1 Access

Monocrat may approve, defer, suspend, limit, or remove private beta access. Waitlist sign-in does not guarantee product access, timing, continued access, or access to every feature.

The v1 launch account model is one verified owner-operator account per tenant. That owner controls business source authorization, app/web sessions, Billing & Usage authority, Stripe payment-method decisions for Monocrat billing, Trust Graph consent decisions, account lifecycle requests, and high-stakes approvals unless a later written agreement adds another authority model.

4. Account Authority

You represent that you are a founder, owner, operator, officer, or other authorized representative of the business account you use with Monocrat, and that you have authority to submit information, connect business systems, approve actions, and bind the business to these terms.

You are responsible for account access, authorized users you allow to use your account, and all instructions issued through your authenticated owner session.

5. Customer Content And Source Access

"Customer Content" means business records, messages, files, metadata, credentials, connection state, source refs, prompts, outputs, and other information you submit to or authorize Monocrat to access. You retain ownership of Customer Content. You grant Monocrat the rights needed to host, process, transmit, display, secure, troubleshoot, and use Customer Content to provide, maintain, protect, and improve the service and to comply with law and these terms.

You are responsible for having the rights, permissions, notices, and consents needed to provide Customer Content and connect each source. Monocrat may refuse, degrade, or disconnect a source when authorization, provider policy, data quality, security, or legal posture is not sufficient.

6. Google Workspace And Connected Services

Waitlist sign-in may request only identity scopes such as OpenID, email, and profile. Approved product setup may request Google Workspace scopes for Gmail, Drive, and Calendar only when needed for source-backed product functionality and after a separate product permission flow.

Monocrat may also support Stripe, Square, Shopify/Shopify Payments, Plaid, manual or POS exports, Moov, and other connected services when enabled for your profile. These customer-authorized connections are evidence or execution providers for your business workflows. They are separate from Monocrat's own Stripe billing processor. Connected source access, source-health states, disconnect, provider-owned exports, and source-write boundaries are governed by the Connected Sources Policy. Customer-authorized outbound payment rail workflows are governed by the Payment Rail Terms.

7. AI Processing And No Professional Advice

Monocrat uses deterministic software and approved AI providers to organize, extract, draft, summarize, route, and explain business information. AI outputs may be incomplete, stale, inaccurate, or unsuitable for a particular purpose. You are responsible for reviewing outputs before relying on them.

Monocrat is not a law firm, accounting firm, tax preparer, payroll bureau, investment adviser, insurance broker, medical provider, money transmitter, bank, or escrow agent. Outputs are not legal, tax, accounting, financial, employment, insurance, investment, medical, or other professional advice. You are responsible for professional review before relying on high-stakes outputs.

See AI & Provider Processing for the provider-processing disclosure that applies to Monocrat AI and routing.

8. Action Gates And High-Stakes Surfaces

Monocrat may show recommendations, drafts, approval packages, estimates, or proposed actions. You are responsible for review before any external effect. Monocrat may block, degrade, require additional review, or route to manual fallback for actions involving money movement, payment, refund, payroll, tax, legal commitments, public publication, customer promises, source-system writes, account deletion, privacy, security, or other high-stakes surfaces.

Email, push, app-link previews, redacted notices, or unauthenticated links may wake you up or deep-link to a review package, but they do not complete a financial commitment, account deletion, source-system write, Trust Graph publication, or other high-stakes action.

Public Trust Graph publication, consent, correction, takedown, revocation, and provenance handling are also governed by the Trust Graph Publication Policy.

9. Billing

Paid use is governed by these terms and the Billing Terms and the Refund, Cancellation & Service Delivery Policy. Monocrat's launch paid plan is $200/month per tenant billing account and includes $200/month in non-rollover Monocrat usage credits. Credits are not cash, stored value, gift cards, or transferable balances. The verified owner may set a monthly overage budget in Billing & Usage or settings; this is an authorization cap, not a top-up purchase, stored balance, or auto-replenish wallet. Paid work may run within included credits and that budget. Jobs that would exceed the remaining budget require authenticated owner confirmation to increase the budget, approve a one-time direct charge, or decline before any Stripe authorization or charge. The owner may set a notification threshold for large jobs that spend against the overage budget; that notification is not an approval gate.

Billing, payment method, invoice, receipt, support, dispute, account settings, security, deletion, and credit-state interactions are non-billable control-plane actions and remain available during credit depletion. Support and recovery handling is described in the Support & Admin Access Policy.

10. Data Protection

The Privacy Policy explains how we collect, use, and share information. The Data Processing Addendum applies when Monocrat processes personal data in Customer Content as your processor or service provider, unless you and Monocrat sign a different DPA. The Cookie & Session Notice explains required OAuth state, session, browser storage, and diagnostics technologies. Subprocessor information is available at Subprocessors.

11. Account Cancellation, Deletion, And Export

Owner-only cancellation, deletion, legal access/export, legal erasure, source disconnect, and retention workflows are described in Account & Data Controls. v1 does not provide arbitrary bulk self-serve export. Immediate control-plane downloads and reviewed support/legal export packages remain available as described there.

12. Acceptable Use

You must comply with the Acceptable Use Policy. You may not use Monocrat to:

13. Service Changes And Availability

Monocrat may change, add, remove, degrade, suspend, or limit features, integrations, beta surfaces, rate limits, or approval requirements. We may perform maintenance, respond to security issues, comply with provider requirements, or disable a feature when continued operation creates legal, security, privacy, billing, provider-policy, or product-integrity risk.

14. Intellectual Property And Feedback

Monocrat and its licensors retain all rights in the service, software, designs, workflows, models, documentation, trademarks, and other technology. You may use the service only as allowed by these terms. If you provide feedback, you grant Monocrat a non-exclusive, worldwide, royalty-free right to use it without restriction or compensation.

15. Confidentiality

Each party may receive non-public business, technical, product, security, or financial information from the other. The receiving party will use reasonable care to protect confidential information and will use it only to perform under these terms, comply with law, or exercise legal rights. This section does not limit Monocrat's use of aggregated or de-identified information that does not identify Customer or a person.

16. Disclaimers

The site and service are provided "as is" and "as available." To the maximum extent permitted by law, Monocrat disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, uninterrupted operation, and that outputs or recommendations will meet your requirements.

17. Limitation Of Liability

To the maximum extent permitted by law, Monocrat will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost revenue, lost data, business interruption, loss of goodwill, or cost of substitute services. Monocrat's aggregate liability for all claims relating to the service will not exceed the amount paid by Customer to Monocrat for the service in the three months before the event giving rise to liability, or $100 if no amount was paid.

18. Suspension And Termination

We may suspend or terminate access if we believe use violates these terms, creates security or legal risk, threatens service integrity, violates provider requirements, creates billing risk, or could harm Monocrat, customers, providers, or others. You may stop using Monocrat at any time, subject to billing, cancellation, retention, and account lifecycle terms.

19. Governing Law

These terms are governed by Delaware law, excluding conflict-of-law rules. The state and federal courts located in Delaware have exclusive jurisdiction for disputes arising out of or relating to these terms or the service, unless an order form or written agreement states otherwise.

20. Changes

We may update these terms by posting an updated version or notifying you through another reasonable channel. Continued use after the effective date of an update means you accept the updated terms.
